The concept of Director KYC was introduced in the year 2018 for the first time in Companies Act, 2013. The Ministry of Corporate Affairs (‘MCA’) by its Notification No. 615(E) Dated July 05, 2018 has amended the Companies (Appointment and Qualification of Directors) Rules, 2014 as the Companies (Appointment and Qualification of Directors) Fourth Amendment Rules, 2018 w.e.f. 10.07.2018. By this Amendment, MCA inserted a new Rule namely ‘Rule 12A’ regarding Director KYC.


As per MCA notification, any director who was allotted a DIN on or before 31 March 2018 and whose DIN is in approved status, will have to submit his KYC details to the MCA. Moreover, this procedure is mandatory for the disqualified directors too.

E-Form DIR-3 KYC is to be filed by an individual who holds Director Identification Number (“DIN”) or Designated Partner Identification Number (DPIN) and is filing his KYC details for the first time or by the DIN/DPIN holder who has already filed his KYC once in E-form DIR-3 KYC but wants to update his details.
Web service of DIR-3-KYC-WEB is to be used by the DIN/DPIN holder who has submitted DIR-3 KYC E- form in the previous financial year and no update is required in his details.

Every person who holds DIN/DPIN as on 31st March of the financial year, he has to submit Form DIR-3-KYC or DIR-3 KYC-WEB for the said financial year on or before 30th September of the immediate next financial year.

Any director who was allotted a Director Identification Number(DIN) on or before 31 March 2018 and whose DIN is in approved status, will have to submit his KYC details to the MCA. Moreover, this procedure is mandatory for the disqualified directors too.

Every individual who has been allotted DIN and has ‘approved’ status must file this form if he is:

– a director in the company even if being disqualified; or

– a partner in LLP; or

– holding DIN but not associated with any organization.

Yes, professional certification is mandatory for filing DIR-3 KYC. The e-form must be certified by the practising professional i.e. CA/CS/CMA with his DSC.

No, an Individual with ‘Approved’ status can only file this form. However, if your DIN is deactivated by reason of non-filing of DIR-3 KYC, you can file this form for re-activating DIN by payment of the prescribed fee (INR 5,000).

Filing KYC by directors are prescribed annually. For every financial year, the KYC is to be updated by 30th April of the immediate next financial year.

DIN holders of DINs marked as ‘Deactivated’ due to non-filing of DIR-3KYC/DIR-3 KYC-Web are encouraged to become compliant once again in pursuance latest scheme introduced by MCA namely Companies Fresh Start Scheme, 2020 and file DIR-3KYC / DIR-3KYC-Web / ACTIVE as the case may be between 1st April, 2020 to 30th September, 2020 without any filing fee of INR 5000/INR 10000 respectively.
